I note that Ferrovial doesn’t mention detention centres given its takeover of Broadspectrum who list CEO’s, a few from Transfield, one of the three major players in respect to management of Detention Centres.

Except in matters reserved for the Shareholders’ Meeting, the Board of Directors is Ferrovial’s primary decision-making body. With the management team, it manages the Company with a view to maximising shareholder value sustainably over the long term.

FERROVIAL’S CORPORATE GOVERNANCE

  • The Board of Directors comprises 12 members. There is a Lead Director, who channels any concerns expressed by the non-executive Directors. Directors are re-appointed every three years, and not every four years as required by law. This allows shareholders to express their opinion on Director performance more frequently.
  • The Nomination and Remuneration Committee comprises mostly independent Directors and, like the Audit and Control Committee, does not include any executive Directors.
  • The Audit and Control Committee supervises the process of drafting the financial information and the efficacy of the Company’s internal control systems, among other functions.
  • Ferrovial regularly analyses best practices and corporate governance standards in Spain and other countries with a view to their adoption.
